These Terms & Conditions (“Terms”) govern your use of Moreteller™ of Blue kanel LLC (“Platform”), a service provided by Itump, Inc. (“Parent Company”), in partnership with Paytrea™ (“Sister Company”) and associated service providers.

By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Scope of Services

1.1 Moreteller provides a done-for-you business automation solution, including but not limited to:

Website and funnel design
AI conversation agents for customer interaction
Calendar, booking, and appointment workflows
Payment processing via Tap-to-Pay, POS devices, and supported merchant platforms
Business automation workflows, branding, and SEO enhancements

1.2 Services are integrated with payment processing providers (including Stripe and others). You are responsible for compliance with any payment processor’s separate terms and policies.

2. Payment Processing & Fees

2.1 Clients authorize Moreteller, Itump, and/or Paytrea to process transactions via supported merchant accounts.

2.2 Standard processing fee is 3% per transaction, with 2% remitted to Moreteller and the remainder retained by the Client if passed forward to end customers.

2.3 Clients may choose to process payments through Stripe, Paytrea, or other compatible processors, but full feature access may require a preferred processor (e.g., Stripe).

2.4 Minimum Monthly Processing Requirement – To maintain $0/month subscription status, the Client must process at least $5,000 and $15,000 respectively in monthly sales volume or $100 or $300 in monthly processing fees. If not met, a subscription fee applies at the current posted rate.

3. No Refund Policy

3.1 Due to the nature of our platform—providing instant access to proprietary systems, third-party integrations, design services, and AI automation—all sales are final.

3.2 No refunds will be issued for:

Maintain a valid payment method on file
Provide accurate business and contact information
Use the Platform only for lawful business activities
Not engage in fraudulent, illegal, or prohibited transactions

3.3 The $9 consultation fee for qualification calls is non-refundable unless explicitly credited toward an approved account as outlined in your acceptance letter.

4. Client Responsibilities

4.1 You agree to:

Maintain a valid payment method on file
Provide accurate business and contact information
Use the Platform only for lawful business activities
Not engage in fraudulent, illegal, or prohibited transactions

4.2 You are responsible for all chargebacks, refunds, disputes, and penalties incurred from transactions processed through your account.

5. Limitation of Liability

5.1 Neither Moreteller, Itump, Paytrea, nor any affiliates, partners, or associates shall be liable for:

Loss of profits
Loss of business or customers
Downtime due to third-party providers
Any indirect, incidental, or consequential damages

5.2 Total liability for any claim shall not exceed the total fees paid by the Client in the preceding 30 days.

6. Indemnification

You agree to indemnify, defend, and hold harmless Moreteller, Itump, Paytrea, and their affiliates, officers, employees, and agents from any claims, damages, liabilities, or expenses arising from:

Your use of the Platform
Violation of these Terms
Misuse of payment systems
Violation of applicable laws or regulations

7. Intellectual Property

All content, software, designs, workflows, and tools provided by Moreteller remain the intellectual property of Itump, Inc. or its licensors. You receive a non-exclusive, non-transferable, revocable license to use these during your active subscription or processing relationship.

8. Termination

Moreteller reserves the right to:

Suspend or terminate accounts for non-payment, fraud, or violation of these Terms
Close accounts with unpaid balances after 30 days of non-payment, with no data retrieval obligation

9. Governing Law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict of law principles. All disputes will be resolved in the courts of New York County, NY.
